This Terms and Conditions Agreement ("Agreement") governs the relationship between hotel vendors ("Vendor", "Hotel Partner", "You") and SWR (Stay With RVBM) ("Company", "We", "Our", "Us"). By listing your hotel and providing accommodation services through the SWR platform, you agree to comply with the terms set forth below.

1. DEFINITIONS

• "SWR" refers to Stay With RVBM, a hotel booking platform.
• "Vendor" refers to the hotel or accommodation provider listed on SWR.
• "Guest" refers to the end customer booking accommodation through SWR.
• "Agreement" refers to these Terms and Conditions.
• "Commission" refers to the percentage fee charged by SWR for each successful booking.

1. REGISTRATION & VENDOR OBLIGATIONS

• Vendors must complete the registration process by providing accurate details, including business name, tax identification, banking details, and proof of ownership.
• Vendors must keep their account details updated and inform SWR of any changes.
• Vendors agree to provide truthful information about the property, including facilities, pricing, and availability.
• Vendors shall maintain service quality and cleanliness as described on the platform.
• Vendors are responsible for securing necessary permits and licenses for hotel operations.

1. HOTEL LISTING& PRICING

• Vendors must upload accurate images and descriptions of their property.
• Pricing must becompetitive and updatedregularly.
• Any changes in room availability or pricing should be reflected on the SWR platform promptly.
• Vendors may offer discounts and promotional deals, subject to SWR’s approval.

1. BOOKINGS, CHECK-IN& CHECK-OUT

• Vendors must honor all confirmed bookings made through SWR.
• Check-in and check-out times should be clearly communicated.
• Vendors must ensure a smooth check-inprocess without unnecessary delays.
• Any overbooking or inability to accommodate a guest must be immediately reported to SWR.

1. CANCELLATIONS & REFUNDS

• Cancellation policies must be clearly defined by the Vendor.
• Vendors must process refunds within the stipulated period as per the cancellation policy.
• No-show penalties or charges must be communicated beforehand to SWR and the guest.

1. COMMISSION & PAYMENT TERMS

• Vendors agree to pay SWR a commission@10% on each successful booking.
• Commission rates are agreed upon at the time of vendor registration.
• Payments will be settledweekly/monthly after deductingapplicable commissions.
• Vendors must provide valid bank account details for payments.
• Any disputes regarding payments must be raised within15 days of receipt.

1. TAXES &COMPLIANCE

• Vendors are solely responsible for any applicable taxes, including GST, service tax, or other levies.
• SWR shall not be responsible for anytax-related obligations of the Vendor.
• Vendors must provide tax invoices and other documents as required by law.

1. GUEST EXPERIENCE & LIABILITY

• Vendors must provide quality service and maintain high standards of hygiene and safety.
• Vendors shall be liable for any complaints regarding services, amenities, or safety issues.
• SWR reserves the right to delist vendors with consistent negative feedback.
• Vendors are responsible for compensating guests in case of service failures.

1. TERMINATION & DELISTING

• Vendors may terminate their partnership with SWR by providing a 30-daynotice.
• SWR may delist a vendor without prior notice in case of fraud, non-compliance, or repeated guest complaints.
• Any pending payments must be settled before termination.
• Vendors must remove any SWR branding or promotional materials after termination.

1. INTELLECTUAL PROPERTY RIGHTS

• Vendors grant SWR the right to use hotel images, descriptions, and brand names for marketing purposes.
• Vendors may not use SWR brandingwithout prior approval.
• Unauthorized use of SWR trademarks or copyrights is strictly prohibited.

1. DATA PRIVACY& SECURITY

• Vendors must comply with data protection laws while handling guest information.
• Any data shared by SWR must be used solely for fulfilling guest bookings.
• Vendors are prohibited from sharing guest data with third parties.

1. DISPUTE RESOLUTION

• Any disputes between SWR and the Vendor will first be resolved through mutual discussions.
• If unresolved, disputes shall be settled through arbitration in District Court Bagh pat.
• The decision of the arbitrator shall be final and binding.
•  

1. FORCE MAJEURE

• Neither party shall be liable for failure to perform obligations due to events beyond their control, such as natural disasters, strikes, or government restrictions.

2. MODIFICATIONS TO TERMS

• SWR reserves the right to update these Terms at any time.
• Vendors will be notified of significant changes, and continued use of the platform implies acceptance.
